ITC Gains Control of Yoga Bar Maker Sproutlife

ITC Limited has acquired control of Sproutlife Foods Private Limited, the company behind the Yoga Bar brand, effective April 1, 2026. With a 47.5% stake on a fully diluted basis and the right to nominate a majority of board directors, ITC has made Sproutlife its subsidiary under the Companies Act, 2013.

The move aligns with ITC’s strategy to strengthen its presence in the fast-growing health and nutrition segment. By bringing Sproutlife under its umbrella, the company aims to build a more future-ready foods portfolio, focusing on new-age, health-focused, and digital-first brands.

Founded in 2015, Sproutlife has established Yoga Bar as a strong player in the healthy snacking category, with a significant presence across direct-to-consumer and e-commerce channels, alongside a growing offline retail footprint. The brand has witnessed consistent growth, with revenue reaching ₹200 crore in FY25, up from ₹108 crore in FY24 and ₹88 crore in FY23-highlighting rising consumer demand for healthier food options.

The acquisition reflects ITC’s broader push to scale emerging brands that cater to evolving consumption trends, particularly in wellness and nutrition.

Separately, ITC also dissolved its US-based step-down subsidiary, Blazeclan Americas Inc., as part of an ongoing restructuring exercise. The subsidiary had a minimal contribution to overall business performance, making the move largely operational.

Overall, the development underscores ITC’s focus on portfolio optimisation-exiting non-core assets while strengthening its foothold in high-growth, future-oriented categories.
