EaseMyTrip Cofounder Nishant Pitti Pledges Shares Worth Rs 212 Crore

EaseMyTrip cofounder and promoter Nishant Pitti has pledged shares worth around Rs 212 crore in parent company Easy Trip Planners for personal use, according to a regulatory filing.

The latest pledge, completed on August 24, covers 34.51 crore shares, representing 8.66% of the company’s total equity. The shares have been pledged in favour of Motilal Oswal Financial Services, with the filing stating that the borrowing is for Pitti’s personal use and is not linked to the company.

Following the transaction, Pitti’s total encumbered holding has increased to 44.87 crore shares, or 11.26% of Easy Trip Planners’ equity. With Pitti owning 45.37 crore shares, equivalent to an 11.39% stake, almost his entire holding is now pledged.

The latest transaction carries a disclosed value of Rs 211.92 crore and a 1:1 security cover. Pitti had previously pledged 10.36 crore shares.

While a pledge does not constitute a sale and Pitti continues to own the shares, high promoter encumbrance can potentially create selling pressure if pledged shares are invoked following a default or breach of financing terms. The filing does not indicate any such invocation or sale.

Fellow cofounders Rikant Pitti and Prashant Pitti hold 23.02% and 9.15%, respectively.

The development comes as EaseMyTrip continues its product expansion under its broader “EaseMyTrip 2.0” strategy, including its recently launched ReSave flight-booking feature and ongoing Agentic AI initiatives.
